Earn-Your-Fee-Back Guarantee — Terms & Conditions (Ontario, Canada)

Provider: WBNR (Arian Beyzaei) (“WBNR”, “we”, “us”)
Client: the customer purchasing the offer (“you”)
1) What this is (not a contest)
This is a performance guarantee. Hit the Target below within the Window and you get your Setup Fee (CAD $3,000) back as a credit, or—at our discretion—a cash refund. This is not a sweepstakes, lottery, or game of chance.
2) Eligibility
New purchases of the stated program/offer after the Effective Date.
One guarantee per legal entity/brand. Non-transferable. Not combinable with other promos.
3) The Target and the Window
Target: 5 Qualifying Booked Consults (defined in §4).
Window: 21 consecutive days starting the next business day after the live webinar event date (“Start”). If the webinar date moves due to your delays, the Start moves with it.
4) What counts as a “Qualifying Booked Consult”
A booking that meets all of the following:
Booked on your official booking tool (your tool) and appears on your calendar with a unique contact.
Expressed interest: We have written evidence (email or SMS from the prospect) expressing interest in your services (e.g., asks to discuss, requests info, agrees to meet). Auto-replies, calendar system notifications, and blank “yes” messages don’t qualify.
Booked during the Window (the meeting itself may occur within 60 days after booking).
Min length: 15 minutes or longer.
Meeting type: sales/borrower consult (not support, billing, or internal).
Who does not count: your employees/contractors, vendors, bots/fake/spam, duplicates, mass self-bookings done to game the count.
Cancellations/no-shows: Still count if the booking was validly made during the Window (even if later canceled or unattended).
Existing customers: allowed (no “net-new” requirement).
5) Your required inputs (must be in place before the webinar date)
To keep the guarantee active, you’ll provide at least one of the following inputs:
List: ≥ 2,000 opted-in contacts (CASL-compliant) we can invite, or
Ads budget: ≥ CAD $1,500 for the 21-day period.
Plus:
Brand assets/approvals, access to your booking tool, and one decision-maker who turns approvals within 2 business days.
Send (or authorize us to send) the agreed invites/reminders.
Keep the booking link stable/active.
If these aren’t met on time, we may delay Start day-for-day or void the guarantee (our discretion).
6) What we do
We build the webinar/pages, run invites/reminders, support/host the live session, and report weekly during the Window.
7) How the credit/refund works
If you hit the Target, we issue a credit equal to CAD $3,000 (pre-tax) against your next WBNR invoice, valid 90 days from issuance.
Cash alternative: You may request cash; we decide at our sole discretion. If approved, it’s paid to the original method net of processor fees.
Third-party spend (ads, SMS, software, platforms) is never refundable.
Chargebacks void eligibility.
8) Verification & audit
You authorize us to view necessary calendar/CRM exports and campaign logs to validate bookings and interest messages. If you refuse verification, the guarantee is void. WBNR’s determinations, acting reasonably and in good faith, are final.
9) Compliance (CASL, industry rules)
You represent your list is CASL-compliant (express/implied consent). You accept sole responsibility for compliance with CASL and any industry-specific rules (e.g., mortgage advertising, lender disclosures).
If a regulator or platform policy restricts outreach or forces changes that materially reduce reach, we may pause or void the guarantee.
10) Exclusions (when this does not apply)
No guarantee if you:
Change offers/links/audience without our approval;
Fail to send/approve required comms on time;
Run conflicting promos that siphon traffic;
Engage in any behavior that fabricates or coerces bookings.
11) Limits of liability
To the maximum extent permitted by law, WBNR’s total liability for this guarantee is capped at CAD $3,000 (the Setup Fee you actually paid). No indirect, special, incidental, or consequential damages.
12) Modifications
We may modify/discontinue this guarantee prospectively at any time. Changes do not affect Clients whose Window has already started.
13) Governing law & disputes
Ontario law (and applicable federal law of Canada) governs. Binding arbitration in Toronto, Ontario under the Arbitration Act, 1991 (Ontario). No class actions; individual claims only.
14) Privacy & data use
We use your data and prospect data only to deliver the campaign, verify results, and improve services. We may use anonymized/aggregated performance metrics for case studies.
15) Entire agreement & precedence
These T&Cs govern the guarantee mechanics. Your service agreement/SOW covers everything else. If there’s a conflict, these T&Cs control the guarantee; the SOW controls scope/fees.
16) Force majeure
We aren’t liable for failures/delays caused by events beyond our reasonable control (platform outages, ISP issues, law changes, strikes, etc.).
